While government regulations and market pressures have significantly impacted the executive compensation landscape, businesses still have a variety of alternative structures to properly motivate and compensate their key employees. Understanding and navigating the tax issues involved in executive and equity compensation is critical in planning for and implementing an effective executive compensation plan.

Mark Astling (bio), a shareholder in the Business and Finance Group at Durham Jones & Pinegar, will present on the following topics:

Overview of equity-based compensation and a comparison of various forms of compensation awards.
Alternative approaches to the golden parachute rules under Section 280G of the Internal Revenue Code.
Structuring performance-based compensation to be exempt from the $1 million limit under Section 162(m) of the Internal Revenue Code.
Avoiding the excise taxes imposed by Section 409A of the Internal Revenue Code.
